Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website located at https://mirktechnologies.com/ (the "Site") or purchasing, subscribing to, or engaging with any business automation consulting, artificial intelligence implementation, CRM deployment, custom software development, or related services (collectively, the "Services") provided by MIRK Technologies LLC ("Company", "us", "we", or "our"), an Arizona limited liability company based in Mesa, Arizona.
By accessing the Site, scheduling a consultation, or purchasing or utilizing our Services, you agree to be bound by these Terms, as well as our Privacy Policy. If you disagree with any part of these terms, you do not have permission to access the Site or utilize our Services.
MIRK Technologies LLC provides technical operations consulting, business systems architecture, and generative AI workflow configuration.
Proposals and Statements of Work (SOW): Specific technical builds, integration configurations, delivery timelines, and payment terms will be explicitly outlined in individual, mutually executed agreements or Statements of Work ("SOW"). These Terms of Service are incorporated by reference into any SOW. If a conflict arises between these global Terms and a specific SOW, the terms of the executed SOW shall control.
No Marketing Hype / Practical Engineering: Clients acknowledge that our Services are centered around backend system logic, database infrastructure, API connections, and automated workflows. We are a systems engineering firm, not a general marketing, advertising, or lead-generation agency. We do not guarantee specific marketing metrics, sales volume variations, or click-through performance.
Payment Terms: You agree to pay all fees or charges specified in your custom project proposal, setup agreements, or active subscription plans. All invoices are issued electronically and are due upon receipt or according to the explicit milestones detailed in your SOW.
Late Payments: Failure to make timely payments may result in immediate suspension or complete termination of access to automated workflows, custom hosted infrastructure, or ongoing system maintenance.
Refund Policy: Due to the custom, engineering-intensive nature of software logic, API setup, and technical consulting hours, all sales are final. No refunds will be issued for completed milestones, configuration fees, or active software maintenance cycles.
Our automations rely heavily on connecting external, third-party infrastructure (including but not limited to GoHighLevel, Twilio, OpenAI, Make.com, Zapier, and Google Workspace).
Independent Third-Party Billing: Unless explicitly bundled within your SOW, clients are solely responsible for maintaining their own direct accounts, billing profiles, and software licenses with these third-party platforms.
System Dependability Disclaimer: You acknowledge that MIRK Technologies LLC does not own, manage, or maintain the underlying codebases or cloud servers of third-party platforms. We are entirely absolved of liability if your automated workflows, text-back networks, or AI communication paths fail, glitch, or become delayed due to a server outage, API modification, structural update, or service termination executed by those third parties.
AI Hallucinations and Training Bounds: For configurations involving Large Language Models (LLMs) or custom AI phone/text dispatch tools, client acknowledges that generative AI output is inherently subject to data anomalies, inconsistencies, or functional mistakes ("hallucinations"). MIRK Technologies LLC builds strict context logic boundaries but is not liable for data accuracy mistakes, conversational errors, or operational compliance issues caused by AI text or voice execution on live customer endpoints.
If you choose to opt into our SMS messaging programs (such as requesting information, opting into automated forms, or engaging with systems configured by us):
Description of SMS Program and Messaging Use Cases: MIRK Technologies LLC utilizes automated outbound mobile text messaging for clear transactional and operational use cases. These include sending project milestone updates, technical systems architecture alerts, API configuration notifications, scheduling confirmations, missed call text-backs, and direct client support responses.
Instructions to Opt-Out ('Text STOP'): You can completely cancel and stop receiving SMS mobile messages at any time. To opt-out, simply reply to any text message received from us with the single word STOP.
Instructions to Get Help ('Text HELP'): If you need operational assistance or have questions regarding our mobile messaging, you can text the word HELP to any message received from us, or contact our support team directly at [email protected].
Disclosures for Message/Data Rates: Standard message and data rates may apply from your wireless provider for any mobile messages sent to you from us, or sent to us from you. Message frequency varies depending on your ongoing project engagements, system monitoring parameters, and support inquiries.
Carrier Liability Disclaimer: Interconnected mobile wireless carriers (including, but not limited to, AT&T, T-Mobile, Verizon, and all associated cellular networks) are not legally or operationally liable for delayed or undelivered mobile messages transiting our systems.
Age Restriction (18+): To subscribe to or participate in the MIRK Technologies LLC mobile messaging program, you must be at least eighteen (18) years of age or older. By opting into our messaging program, you warrant and represent to us that you meet this age requirement.
Compliance and Consent Architecture: Client retains sole legal responsibility for ensuring that consumer contact lists conform to national telecom rules. You explicitly warrant that any phone number provided has given valid express consent to receive automated messages. You agree to indemnify and hold harmless MIRK Technologies LLC against any regulatory fines, carrier penalties, or litigation stemming from messaging compliance failures.
Company Property: We retain all rights, title, and interest in our proprietary core infrastructure, framework methodologies, custom developer templates, internal prompt-engineering logic matrices, and standard baseline code routines built prior to or independently of your specific project.
Client Deliverables: Upon full execution of all outstanding financial obligations, Client shall own a perpetual, non-exclusive license to utilize the specific configurations, integrated system visual flows, copy strings, and customized functional dashboard connections delivered as part of their final SOW.
Mutual Confidentiality: Both parties agree to protect and treat all sensitive internal information—including database logic, engineering procedures, operational credentials, consumer metrics, and unique business strategies—as strictly confidential during the term of engagement and indefinitely following its completion.
System Access Protections: To deploy systems effectively, you will be required to provision API keys or administrative login clearances to your technology stack. We implement secure credential management protocols. However, you remain responsible for maintaining the privacy and security profiles of your native master host accounts.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIRK TECHNOLOGIES LLC, ITS FOUNDERS, MEMBERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, SUFFERED BY YOU OR ANY THIRD PARTY, ARISING OUT OF OR IN CONNECTION WITH THE ACCESS TO, USE OF, OR INABILITY TO USE OUR SITE OR SYSTEM CODES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY SERVICE STATEMENT OF WORK, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, SHALL NEVER EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO MIRK TECHNOLOGIES LLC DURING THE IMMEDIATELY PRECEDING THREE (3) MONTH PERIOD BEFORE THE ACTIONABLE INJURY CLAIM OCCURRED.
You agree to defend, indemnify, and hold harmless MIRK Technologies LLC and its employees, contractors, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of our configured systems; (b) a violation of these Terms or compliance laws; or (c) any data breaches, operational liabilities, or communication bugs originating inside your client-controlled business infrastructure.
These Terms, your legal relationship with us, and any dispute or litigation arising out of your engagement with MIRK Technologies LLC shall be governed by and construed exclusively in accordance with the laws of the State of Arizona, without regard to conflict of law rules. Any legal lawsuit, action, or binding proceeding arising directly out of these Terms shall be instituted exclusively in the state or federal courts located in Maricopa County, Arizona.
We reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide notice via our Site or direct digital distribution at least 30 days prior to any new terms taking effect. By continuing to access our Site or interface with our custom business assets after those revisions become effective, you agree to be bound by the revised terms.
